Forward Industries, Inc., incorporated in 1961, designs, markets and distributes soft-sided carrying cases, bags, clips and other accessories for the handheld consumer electronic product industry, including cellular telephones and medical monitoring and diagnostic kits. Its principal customers are original equipment manufacturers (OEMs). The Company's suppliers custom manufacture its carrying cases and related products to the order of its original equipment manufacturer (OEM) customers. Forward Industries designs and markets to its customers' order soft-sided carrying cases, bags, hand straps, clips and decorative faceplates made of leather, nylon, vinyl, plastic, polyvinyl chloride (PVC) and other synthetic fabrics through its wholly owned subsidiaries, Koszegi and Forward Innovations. (These subsidiaries are discussed below.) Its products are used by consumers for carrying or transporting portable electronic products such as cellular telephones, medical monitoring and diagnostic kits and other handheld devices. The Company's carrying cases are designed to enable these devices to be stowed in a handbag, briefcase or backpack, clipped to a belt or carried in a pocket.

The Company sells its medical carrying cases directly to manufacturers of electronic blood glucose monitoring kits for personal use by diabetics. These cases are usually included by the manufacturer in the box as part of their diabetes testing and monitoring kits. The kits typically include a small blood glucose monitor, testing strips, lancets for drawing a drop of blood and the Company's carrying case, customized with the manufacturer's logo and designed to fit the glucose monitor, testing strips and lancets.

Forward Industries sells carrying cases and related accessory products for cellular telephone handsets to OEM suppliers of the handsets, as well as to third-party distributors under the Company's license agreement with Motorola. These products include carry cases for cell phone handsets, cases for handset camera attachments, plastic belt clips to carry handsets, carrying case straps and bags, decorative faceplates, wrist straps and other accessory products. Selling prices for these products vary, depending on the specific product, terms of the order, quantity ordered and the distribution channel.

In connection with sales of Motorola-branded products pursuant to its license agreement with Motorola, the Company markets carrying cases and related accessory products of its own design for cell phone handsets. The Motorola licensed products have been manufactured for both inventory and customer order.

Located in the heart of Europe, Forward Innovations, GmbH serves as Forward Industries' European sales division and distributes products throughout Europe, the Middle East and Africa.

Offering a full line of carrying solutions Forward Innovations (under license with Motorola) also distributes to wholesalers and retailers, a complete range of custom products specifically designed to fit Motorola cellular telephones.

With sales representatives located throughout the United States, Koszegi Industries distributes Forward Industries' products in North America.

Located in Hong Kong, Koszegi Asia Ltd., serves as Forward's ISO certified procurement and quality control center.
